Terms & Conditions

Clear terms for working together, structured to protect both the client and the integrity of the work.

Every project begins with a clearly defined agreement on scope, timing, and responsibilities.

These terms apply to all services provided by ALVORE, including strategy, design, development, SEO, consulting, and related digital work. By engaging our services, you agree to the conditions outlined below.

01 · Scope

Defined scope of work

Project scope is established before work begins and may include strategy, interface design, development, SEO structure, content direction, audits, or ongoing support.

02 · Client Input

Communication and approvals

Clients are responsible for timely approvals, content delivery, and communication necessary to maintain progress and delivery schedules.

03 · Changes

Scope changes and additions

Any work requested outside the agreed scope may require revised timelines, additional fees, or a separate written agreement.

Payment, revisions, and delivery are handled through structured project phases.

Work begins after the agreed initial payment is received.

Projects may be divided into deposits, milestone payments, or final settlement
Outstanding balances may pause delivery, transfer, or launch
Completed phases and non-refundable deposits remain payable

Reasonable revisions are included within the agreed scope.

Revisions must align with the original approved direction
Additional rounds or significant rework may be billed separately
Delayed feedback may impact project timing
Delivery

Final files are provided after project completion.

Delivery may include deployment, file transfer, credentials, or handoff documentation, depending on the engagement.

Support

Post-launch support is separate unless included.

Maintenance, updates, SEO continuation, or ad management after launch may require a separate service agreement.

Use

Clients remain responsible after delivery.

That includes site operation, content decisions, advertising spend, platform use, and ongoing business execution.

Ownership, confidentiality, and platform limitations are addressed explicitly.

When does ownership transfer?

Ownership of final approved custom deliverables transfers upon full payment, unless otherwise stated in writing.

What is not transferred?

Pre-existing ALVORE systems, frameworks, methods, and internal processes remain the property of ALVORE.

What about third-party tools?

Fonts, plugins, software, libraries, APIs, and external platforms remain subject to their original licenses and provider terms.

Client information, credentials, business materials, and project details are treated as confidential.
Confidentiality obligations continue during and after the project, except where disclosure is required by law or the information is already public.

Performance depends on execution beyond launch, market context, and factors outside direct control.

ALVORE provides strategy, design, development, and optimization services with professional care, but does not guarantee commercial results, ranking positions, lead volume, or advertising outcomes.

Outcomes are driven by execution, strategy, and market conditions.

Search performance may vary by competition, authority, and market conditions
Ad performance depends on budget, targeting, offer quality, and traffic conditions
Conversion results depend on user behavior, follow-up systems, and client-side execution

Liability is limited to the fees paid for the relevant services.

ALVORE is not liable for indirect, incidental, special, or consequential damages
We are not responsible for lost profits, lost opportunities, business interruption, or platform downtime outside our control
Total liability shall not exceed the amount paid for the relevant scope of work

Can a project be terminated?

Yes. Either party may terminate the engagement in writing, subject to payment for work completed up to the termination date.

Are payments refundable?

Deposits, completed phases, and already-performed services are generally non-refundable unless otherwise agreed in writing.

What happens after termination?

ALVORE may suspend access, delivery, or further services until all outstanding balances are settled.

These terms are governed by the laws of Ontario, Canada.
Any dispute arising from services, deliverables, or related agreements shall be subject to the jurisdiction of the courts of Ontario.
